Why Estonia for EU SaaS?
Three core advantages: (1) 0% undistributed-profit tax — unique in the EU at this level; aggressive reinvestment is possible, (2) fully digital, remote management (you never visit Tallinn), (3) EU-resident team enables EU B2B contracts + Reverse Charge VAT. Stripe Atlas (Delaware C-Corp) is not optimal for an EU team.
What does the Paddle / Merchant of Record approach mean?
MoR services like Paddle or LemonSqueezy take over EU consumer VAT entirely. Paired with an Estonia OÜ this is excellent: you do B2B (SaaS sales) while Paddle handles the consumer side. Zero hassle with OSS registration, per-country VAT etc.
What's used as an alternative to KISS / SAFE?
Convertible Note and SAFE aren't directly enforceable under Estonian law. EU equivalents: ASA (Advance Subscription Agreement) or ALK (Advance for Stock Option). In this package an Estonian lawyer drafts a variant suitable for your funding round.
Is an IP Assignment Agreement needed?
Yes — especially critical for investor due diligence. Transferring founder-written code to the OÜ ensures no IP risk in later rounds. IP Assignment is included; EUIPO trademark registration can be added in parallel (€549 extra).
What's done for GDPR compliance?
Since Estonia is an EU member, GDPR applies automatically — with one nuance: integration with e-Residency requires extra care on data-controller responsibilities. Privacy Policy + Cookie Policy + DPA templates are included; if you're an active data processor, coordination with the Estonian Data Protection Inspectorate (AKI) is set up.
