Should I pick LLC or C-Corp?
If you plan to raise (angel, VC, seed): C-Corp (Delaware) is effectively required — investor tax structuring, qualified small business stock (QSBS) benefits and 83(b) election all build on it. If you stay bootstrapped and want annual profit distribution: LLC (pass-through tax) is more efficient.
Why is the IP Assignment Agreement important?
Code or trademarks created personally by a founder do not automatically transfer to the company at incorporation. Investors require this agreement during due diligence; without it, your IP is considered risky and the round may not close. This bundle includes US attorney drafting.
