What is the BOI report and why is it mandatory?
The Beneficial Ownership Information report is required by the Corporate Transparency Act (CTA) to be filed with FinCEN. Every individual owning 25% or more, or exercising "substantial control", must be disclosed — designed to combat shell-company money laundering.
Which companies must file the BOI report?
Almost every US LLC and Corporation. Exemptions: public companies, banks, insurers, large companies with 20+ FTEs and $5M+ in US revenue. Typical Turkey-formed LLCs and C-Corps fall within scope.
What is the deadline and what if I file late?
For companies formed before 1 Jan 2024, the deadline was 1 Jan 2025 (with extensions due to litigation). Newly-formed companies must file within 30 days. Late filing incurs daily civil penalties of $591 and up to $10,000 in criminal liability.
Do I need to refile if my information changes?
Yes — any change to address, name, ID document (including passport renewal) or ownership structure must be reported to FinCEN within 30 days. Trigger updates from your dashboard.
Will my BOI information be public on FinCEN?
No. The BOI database is accessible only to authorised federal agencies (FBI, IRS, Treasury) and approved financial institutions in defined cases; it is not public or shared with others.
